Terms of Service

These terms cover the CoolProject marketplace at coolproject.us and the CoolProject contractor app for iPhone. By using either, you agree to them. If you have already accepted our Platform Role & Responsibilities document, these terms restate and extend it — they do not replace it.
1. What CoolProject is, and is not
CoolProject is a marketplace. Customers post work; contractors bid on it. When a customer accepts a bid, any resulting agreement is between the customer and the contractor.
We are not a party to that agreement. We are not a contractor. We do not perform, supervise, inspect, schedule or manage any work.
Before a contractor can bid here, our review team confirms their identity against a government-issued photo ID and a matching selfie, and examines and records their trade licence and certificate of insurance, including expiry dates. We keep that status visible on the contractor's public profile and update it as renewals are submitted and verified. We inform; we do not decide for you. We do not guarantee workmanship, timeliness, pricing or results, and whether to transact with any contractor — whatever their credential status shows — is always your decision.
Our review covers only the contractor we introduce to you. If they bring in subcontractors or helpers, or refer you to someone else, those people have not been vetted by us, and anything you arrange off-platform is outside our checks entirely.
2. The two things we do
Our involvement in any project is exactly one of the following, and it ends there:
- Introduction. We connect a customer and a contractor and, for a fee, exchange their contact details so the two can deal directly. After that exchange, the terms, the contract, the payment, the work and any dispute are strictly between them.
- Prepared contract. If both sides choose it, we prepare a written contract between the customer and the contractor and charge a fee for preparing it. We prepare the document. We are not a party to it, we do not sign it, and we do not enforce it. Preparing a contract is not legal advice, does not make us your lawyer, and creates no attorney-client relationship. Have your own attorney review anything before you sign it.
We never hold your money. We do not hold, escrow, transmit or guarantee project funds. Customers pay contractors directly, never through us. The only thing we charge is the fee described above, and the amount — and which side pays it — is shown to you before you commit to anything.
3. Accounts
Customer accounts are self-service. Contractor accounts are issued only after we review an application, including a government ID; this is why the contractor app has no sign-up screen. Keep your password to yourself — you are responsible for what happens under your account.
A contractor account belongs to the contracting business it was issued to, not to the individual who signs in. Projects, receipts, documents and other work records created under that account belong to that business. If you leave the business, those records stay with it.
You may close your account at any time from your account page. Closing your account does not remove records that belong to your business or to the people you worked with, and a further set tied to contracts you signed is retained for legal reasons — our Privacy Policy explains exactly what, and why.
4. If you are a contractor
You operate as an independent business. We are not your employer, client, partner or agent, and you are not our employee or subcontractor.
You are solely responsible for your licensing, registration, bonding, insurance, permits, taxes, workmanship, warranties, safety, and compliance with applicable law. Everything you submit to us must be true and current, and you must keep it current. What we display about you comes from what you submit — we may show that a document was provided, but we do not independently vouch for it to customers.
We do not guarantee you any work, any bid acceptance, or any payment.
5. If you are a customer
You are responsible for checking a contractor's credentials for yourself, for the terms you agree to, for inspecting and accepting the work, for paying the contractor, and for resolving any dispute with them directly.
6. Acceptable use
Do not post work you do not intend to have done, bid in bad faith, misrepresent your identity or credentials, harass anyone, or use the marketplace to arrange a deal off the platform in order to avoid fees. Messages between the two sides are screened automatically for these behaviours. We may suspend or close accounts that break these rules.
7. Fees
Browsing the marketplace, posting a job, and applying as a contractor are free. Fees apply when a customer and a contractor move forward together — to exchange contact details, and to have a contract prepared. The amount that applies to you, and which side pays it, is shown to you before you commit.
8. Your consumer rights are preserved
Nothing in these terms waives or limits any right you have under Minnesota consumer-protection or home-improvement law, including any cancellation or cooling-off right. Those remain yours in full.
